For participation in the Ipsos iSay Panel

To become a member of the Ipsos iSay Panel ("Panel"), managed by Ipsos Interactive Services, LP ("Ipsos", "we" or “us” or “our”), you need to be a resident of Canada, be the age of majority in the province or territory in which you reside, and accept these Terms and Conditions. We offer you (“Panel Member”, “you” or “your”) the chance to participate today in the testing and evaluation of tomorrow's services and products and express your opinions on a wide range of issues. Your voice represents the voice of thousands!

THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AT SECTION 13—PLEASE READ IT CAREFULLY AS IT AFFECTS YOUR RIGHTS.

Ipsos Interactive Services, LP is a British Columbia limited partnership with an office at 160 Bloor Street East, Suite 300, Toronto, ON M4W 1B9, and is part of the Ipsos worldwide group of companies (“Ipsos Group”). These Terms and Conditions are provided in a layered format so you can more easily access specific areas from our Table of Contents. 1. Joining the Panel

Subject to the requirements mentioned above, everybody is free to apply for membership in the Panel in order to participate in survey opportunities and research activities that are made available by Ipsos. By becoming a Panel Member, you agree to receive invitations and/or notifications to participate in surveys and other research activities. Nevertheless, we reserve the right to deny membership, without any requirement to justify such a denial.

Membership is open to employees of the Ipsos Group, subject and according to internal Ipsos Group’s decisions and rules. Membership is not open to members of the immediate families or relatives of the employees of the Ipsos Group.

2. Use of Your Personal Information

The information collected about you will be subject to our privacy policies and practices and our cookie policies. These policies can be found here: www.ipsosisay.com/en-ca/privacy-policy and www.ipsosisay.com/en-ca/cookies-policy

Other than in relation to this Panel, we will not try to sell you anything or pass your personal information to any third parties for marketing or sales purposes.

Refusal to answer a particular question in a survey you are invited to or refusal to participate in a survey will have no consequences with regard to your membership.

You can ask to be removed from the Panel and end your membership at any time or opt-out via the process described under the Termination/Inactivation of Membership section.

3. Email Policy

As you have voluntarily registered in the Panel and confirmed your e-mail address, you should verify whether emails or other communications from us are marked as spam or unsolicited communications by automated filters and you should not mark emails or other communication received from us as spam or unsolicited communication.

Depending on your mail-box security settings, the survey invitations you receive from us might be directed to your bulk / junk mail or similar folder. To avoid this, please add the [email protected] address to your address book.

From time to time, we may contact you by e-mail for account administration purposes, as well as through e-mail newsletters or special announcements containing key information related to your Panel Member activity and key Panel updates ("Membership Updates").

We may also send you email communications about (i) rewards that you may be eligible for through your participation in our surveys, and (ii) new Panel engagement campaigns that we have regarding (new) Panel rewards and/or redemption (collectively named "Engagement Updates"). Receiving any of these Engagement Updates is optional and you can separately opt-out from Engagement Updates at any time by using the unsubscribe link provided in those emails.In some cases, individual surveys may be subject to additional conditions of which you will be made aware at the beginning of such survey. You will be under no obligation to accept such additional conditions; however, this may affect your eligibility for such survey.

4. Rewarding You for Answering Online Surveys

Each time you complete a survey before the deadline, you will receive loyalty points or another reward upon completion or you will be entered into a prize draw. The type and size of the reward or of the prize draw may vary per the survey difficulty, length or other similar elements.

If you request for your panel membership to be terminated, you should redeem all your loyalty points and exchange them for vouchers prior to termination/inactivation of membership, otherwise you will forfeit the remaining points and your points account will be automatically deleted.

There may be instances when the points for recently completed surveys do not immediately appear in your account. In such cases the points will be added later to your account.

Ipsos reserves the right, at any time, to implement a verification period (of maximum 96 hours), during which your reward will be held in "Pending" status. During this period, we will undertake quality control and fraud prevention checks. We will inform you of any such waiting period applicable to you, via the FAQ section of the Panel members' website or by other means of communication, as per Section 13 below. Newly registered Ipsos iSay members will always need to wait 96 hours from completing their registration before any reward will be released from "Pending" status. You will see a confirmation message when your registration process is complete.

When the necessary number of Panel Members have answered a survey, or you do not actually qualify for the survey profile, Ipsos or its clients have the right to end the survey at any stage and not collect further answers. In such a situation and depending on the stage reached in any survey, a reduced number or no loyalty points may be awarded.

5. Registration of Background Information

With respect to the statistical analyses that Ipsos delivers to its clients, Ipsos needs certain demographic and personal information about you, including sensitive information such as your income.

Where Ipsos requests such information, providing Ipsos with this personal information is a condition for participation in any surveys as it would otherwise not be possible for us to determine whether your participation in any survey would meet such survey's criteria. We also ask some basic details about your household and any children you may have and in respect of which you are the parent/legal guardian.

During the registration process and during your participation in our research surveys, you agree to provide only true, accurate and complete information and agree to update the Panel account related information that you supplied to ensure it remains up to date and accurate.

Each person is entitled to open, use and maintain Panel registration via only one (1) account, and the account is dedicated and uniquely specific to the individual who has registered for panel membership. Once registered to the Panel, the membership is not transferable to any other individual or entity.Ipsos reserves the right to allow only one (1) account or only some accounts to be used within the same household, for participation in a specific survey.

6. How Does the Panel Work?

Panel Members will receive relevant survey invitation links by e-mail, SMS or other electronic communication from Ipsos (according to the preferences set by you in your account). There is no obligation for you to answer such surveys, your participation is always voluntary. Each survey is only to be answered once. Please do not mark e-mails, SMS or other electronic communications received from Ipsos iSay as spam, so you can continue to receive survey invitation links. Ipsos is not bound to send surveys to all Panel Members for each new survey; nor can Ipsos guarantee a minimum or a maximum number of surveys per year.

Ipsos has taken reasonable data safety measures, but Ipsos cannot guarantee security of communications. Should any viruses appear in the communications sent to you, Ipsos does not accept any liability for the consequences.

7. Acceptable Use and Participation

When made available, as a Panel Member you will also have access to the member community and other social interaction features. You understand that any messages, opinions, information, pictures or any other materials used, posted, uploaded and/or submitted by you or other panel members are the sole responsibility of the person who posted such material/content. You agree that you will not post or upload any material that:

(a) Is illegal. This includes content or any messages that promote or discuss illegal activities or encourages others to commit them.
(b) Is abusive, obscene or hateful. This includes language, information or images. Masked swearing (e.g. "f__k") is considered the equivalent of the actual swear word.
(c) Is threatening, harassing, libelous or defamatory either between Panel Members or directed towards an Ipsos moderator or other Ipsos employee.
(d) Is inciting hate or violence.
(e) Is bigoted, racially, ethnically, sexually or otherwise offensive.
(f) Is an inappropriate political or religious message.
(g) Is generated by or with any input whatsoever from any artificial intelligence systems or technologies.
(h) Is derived through automated data mining, through use of spiders, robots and/or other similar techniques or is used to manipulate the results of any survey and/or prize draw.
(i) Is using any action to interfere with the platform or surveys including but not limited to overloading, flooding and/or crashing any application.
(j) Is aimed at advertising or marketing any goods or services.
(k) Contains viruses, corrupted files, "Trojan Horses" or any other malicious code and/or spyware.
(l) Contains your personal information or the personal details of other people.
(m) Is owned by or under the copyright or other intellectual property rights of someone else.
 

It is important to note that Ipsos does not pre-screen any information posted by Panel Members.

However, Ipsos reserves the right to remove any content that is posted by Panel Members at any time.By submitting your responses, you confirm that they are comprised solely of your original ideas and expressions, unless explicitly noted otherwise, and you expressly agree not to replicate or paraphrase content found in copyrighted materials, information sourced from other websites or sources, or input generated by artificial intelligence systems or technologies. Responses that are identified as being potentially plagiarized or created with the assistance of artificial intelligence systems or technologies, are subject to elimination and may lead to the termination of your membership, with the direct consequence of losing the right to any rewards and/or points related to the plagiarized content or content otherwise created with the assistance of artificial intelligence technologies or systems’ activity.

8. Children’s Privacy

If you provided information concerning children in your household and confirmed that you are the parent or legal guardian, we might contact you in respect of surveys or other research activities which we would like them to participate in. We will always require your prior consent as parent or legal guardian before inviting such child to take part in a survey or other research activity.

9. Cookies, Digital Fingerprinting, Device Data, and Other Information on Your Device

Ipsos is committed to the following areas:

(a) Ensure that the survey is delivered in a form that is reasonably suited to your device.
(b) Assist in providing support to you should you have difficulty accessing or completing a survey.
(c) Use anonymized or de-identified information whenever possible for research purposes. For example, to determine the percentage of panel members that use a certain type of browser in a specific country.

Cookies

As set out in more detail within our cookie policy, we are using different kinds of cookies and might also read cookies set by third parties. Other than with your prior consent, cookies are used for statistical purposes, quality control, validation, fraud prevention and fraud control. Find out more about our Cookie Policy.

Digital Fingerprinting

We may also use digital fingerprinting technology, also known as "Machine Identification", digital fingerprints, to gather certain information about your device hardware and software.

Device Data and Other Information on Your Device

We may also use certain information about the hardware and software present on your device for quality control and fraud prevention purposes. We also automatically capture information about your IP address, location data, operating system, screen display settings, browser type, use of Flash and Java and, with your consent, whether your device has a webcam for the purposes of participation in some surveys.

10. Confidentiality Notice

As a Panel Member, you may be asked to review new concepts, products and packaging that are still in development and as such not known to the public. You may come in contact with, be allowed to see, use or otherwise have access to certain non-public, confidential, proprietary, or trade secret information or content/material that are the sole and exclusive property of Ipsos Group and/or Ipsos’ relevant clients, including, without limitation, information with respect to the client products (collectively, "Confidential Information"). You hereby agree to protect the secrecy and confidentiality of such Confidential Information and you must not modify, copy, print, store, reproduce, republish forward, distribute, alter, reverse engineer or disclose to anyone by any means, the Confidential Information you will have access to, and you must not use the Confidential Information for other purposes than the purpose it was disclosed to you. You agree and acknowledge that Confidential Information is protected and is subject to regulations, laws, and intellectual property rights and ownership of Ipsos or others.

11. Intellectual Property

Ipsos shall own and retain exclusive ownership of its trademarks, logos, patents, copyrights, know-how, any content of its website and other intellectual property rights ("Ipsos IP"). You may not modify, use or reproduce any of the Ipsos IP without our prior written consent and you may not rent, lease, loan, sell, distribute or create derivative works based on our website or Ipsos IP, in whole or in part. Nothing in these Terms and Conditions shall be construed as granting you any license, right, title or interest in any Ipsos IP, the Confidential Information, or any patent, trademark, copyright, know-how, or similar right now or hereafter owned or controlled by Ipsos.

12. Indemnity and Limitation of Liability

NOT APPLICABLE TO RESIDENTS OF QUEBEC TO WHOM THE QUEBEC CONSUMER PROTECTION ACT APPLIES.

You agree to indemnify, defend and hold harmless Ipsos and each of its respective officers, partners, clients, managers, employees, agents and attorneys, from and against any and all liabilities, claims, actions, suits, proceedings, judgments, fines, damages, costs, losses and expenses (including reasonable legal fees, court costs and/or settlement costs) arising from or related to: (i) your acts or omissions in connection with your membership within the Panel, (ii) your participation within surveys conducted by Ipsos, or (iii) any breach by you of these Terms and Conditions.

Any unlawful or disparaging action taken by you during your membership within the Panel or your participation within research surveys conducted by Ipsos, that may be considered a violation of criminal and/or civil law shall entitle Ipsos to seek all remedies in this regard to the full extent permitted by law and in equity. Ipsos disclaims any warranties and conditions, express and implied, related to your membership within the Panel and to your participation within surveys conducted by Ipsos and Ipsos shall have no liability whatsoever (including without limitation liability for any indirect, special, incidental or consequential damages, or any loss of profit, revenue, or opportunity), to you or any third party, for your membership within the Panel and your participation within research surveys conducted by Ipsos.

You will release and forever discharge Ipsos, Ipsos's clients, each of their affiliated companies, and each of their respective officers, directors, shareholders, employees, and agents from and against all claims, lawsuits, causes of action, demands, losses, liabilities, obligations, judgments, damages, costs and expenses of any kind (including reasonable attorneys' fees) ("Losses") arising directly or indirectly out of any injury, death, property damage or other damage sustained or allegedly sustained by you resulting from the distribution, sale, consumption or use of or contact with a product in connection with any product test and evaluation research. This does not apply to any Losses which may be caused by Ipsos's client's or Ipsos's gross negligence or any liability by them under applicable product liability or consumer protection legislation.

13. Dispute Resolution Arbitration

PLEASE READ THIS ARBITRATION PROVISION (THE “AGREEMENT”) CAREFULLY. IT AFFECTS YOUR RIGHTS, AND THE RIGHTS OF THOSE TO WHOM YOU PROVIDE ACCESS TO YOUR ACCOUNT. THIS PROVISION DOES NOT APPLY TO RESIDENTS OF QUEBEC TO WHICH THE QUEBEC CONSUMER PROTECTION ACT APPLIES.

Except as expressly provided below, you and Ipsos agree that to the fullest extent permitted by applicable law, any dispute arising out of or relating in any way to the relationship between you and Ipsos and its affiliates, including, but not limited to, disputes arising out of or relating to this Agreement or a similar prior Agreement, the Panel, or your Account (including matters occurring prior to the date of this Agreement and disputes with third parties) (collectively, “Claims”) will be resolved by binding arbitration. Further, all disputes or questions relating to arbitrability, such as questions as to the validity, formation, scope, and enforceability of this Agreement are expressly and conclusively delegated to the arbitrator for resolution. The right and obligation to arbitrate under this section shall extend to all Claims, including those against or involving third parties such as Ipsos’s or its affiliates’ officers, directors, employees, agents, shareholders, members, partners, subsidiaries, joint venturers, or contractors, all of whom or which are intended third-party beneficiaries of this Agreement.

Except as expressly provided herein, any arbitration will be conducted pursuant to the ADRIC Arbitration Rules (the “Arbitration Rules”) of the ADR Institute of Canada. The parties will select a single arbitrator by mutual agreement or, if the parties cannot agree, in accordance with the Arbitration Rules. The arbitrator will be a practicing lawyer with over ten (10) years’ experience in litigating and/or presiding over cases involving the substantive legal areas involved in the dispute. The arbitrator shall apply applicable law to all claims and defenses and shall be authorized to award any and all relief permitted by law to the party that prevails on any or all such claims or defenses.

The parties shall have an opportunity to conduct discovery sufficient to present a meaningful prosecution or defense of the claims. The arbitrator must issue his or her award in writing, setting forth in summary form the factual findings, evidence cited and reasons for the arbitrator’s determination. To the extent permitted by the Arbitration Rules and applicable law, the arbitrator shall have the authority to issue an award or partial award without conducting a hearing on the grounds that there is no claim on which relief can be granted or that there is no genuine issue of material fact to resolve at the hearing. The arbitration will be concluded within three months of the date the arbitrator is appointed. The following matters will not be subject to arbitration but will instead be adjudicated in the appropriate court of the province in which you reside at the time the action is filed: (a) actions to enforce intellectual property rights; (b) any claim or dispute for which applicable law (as determined by a binding appellate court decision) or the applicable arbitration rules do not permit arbitration and require adjudication in a court; and (c) at your election, any claims that fall within the jurisdiction of an applicable small claims court in the jurisdiction where you reside may be brought in such court.

You also agree that, to the fullest extent permitted by law: (a) CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL, NON-CLASS, AND NON-REPRESENTATIVE CAPACITY, AND THAT CLAIMS OF TWO OR MORE PERSONS MAY NOT BE JOINED OR CONSOLIDATED ABSENT CONSENT OF ALL PARTIES; (b) NO CLAIMS MAY BE BROUGHT ON A CLASS, COLLECTIVE, OR OTHER REPRESENTATIVE CAPACITY; and (c) YOU ANDIPSOS HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JURY, EVEN FOR DISPUTES NOT SUBJECT TO ARBITRATION.

You can opt out of this arbitration agreement by timely writing to

and providing the following information: (1) name; (2) address; (3) phone number; and (4) a clear statement that you wish to opt out of this arbitration agreement. To be effective, the opt-out notice must be mailed no later than 30 days after the date you become bound by the arbitrationagreement by accepting these Terms and Conditions. Please note that you will continue to be bound by any older arbitration provision you did not out opt of and any other arbitration provision that might otherwise govern the Claims.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shallbe severed, and the remaining arbitration terms shall be enforced, except that if the class, collective, or representative action waiver above is determined to be unenforceable, then the entire arbitrationagreement

14. Participation Conditions

We may amend any part of these “Terms and Conditions” by adding content, deleting content, or changing the existing content. These amendments may be made at any time and could occur very close together, or very far apart, depending on the circumstances. We may make these changes for a number of reasons, including the following:

(a) improving the safety of Panel Members; 
(b) enhancing the functionality of the Panel; 
(c) combating any type of abuse related to the use of the Panel; 
(d) Introducing additional functionalities of the Panel, where the use of these services or functionalities will be voluntary; 
(e) a change in the applicable legal environment that has a direct impact on the content of the Terms and Conditions.
 

We will provide you with notice of the proposed amendment by email to the email address that we have on file for you. We will include a link to the previous version of the terms beneath the new version number, so you can compare the two versions. The amendments will take effect 30 days after the date on which the amended version is posted. Prior to that date, the previous version of the Terms will continue to apply.

If you disagree with any amendment, you may cancel these Terms and Conditions by closing your account and ceasing to participate in the iSay Panel. If the amendment increases your obligations under these Terms and Conditions, or decreases our obligations, then you can also cancel in the 30 days after the amendment takes effect. In either case, there is no cost or penalty for cancelling because you disagree with an amendment. If you do not close your account and cease participating in iSay Panels during the applicable cancellation period, then by your continued participation in the program, you are considered to have accepted the proposed amendments.

15. Termination/Inactivation of Membership

You may request at any time for your membership to be terminated and opt-out from the Panel. You may do this either by sending an email to [email protected] or by clicking on the appropriate link within your online Ipsos iSay account dashboard or via clicking the corresponding link in any survey invitation received from us. Please note that it may take up to seven (7) days to fully process your request and remove your information from all of our systems, so you may still receive the occasional email from Ipsos during this time. If you request to be unsubscribed from the Panel you should redeem all your bonus points and exchange them for rewards offered prior to unsubscribing, otherwise you'll forfeit the remaining points and your points account will be automatically deleted.

Ipsos reserves the right to terminate your Panel membership immediately, without notice, for any conduct that falls outside our quality parameters or business objectives, or any other violation or breach of these Terms and Conditions, our Panel Privacy Policy or applicable survey rules.

Ipsos also has the right to inactivate an account due to fraudulent or unlawful behavior. If your account is flagged for fraud or other behavior that goes against Ipsos standards or requirements, we will notify you using the contact information in your account. Termination of your Panel membership for fraudulent behavior or serious breach of these Terms and Conditions, the Panel Privacy Policy, or survey rules may result in the immediate forfeiture of all accrued rewards or points. In such cases, no rewards or points in the inactivated account, including those in "Pending" status, will be redeemable by the fraudulent Panel Member.

The use of the Panel Member account by an individual other than the Panel Member who actually registered may be considered an unauthorized use and may be grounds for immediate termination and forfeiture of all gathered rewards and/or points.

Ipsos reserves the right to delete inactive Panel Members from the Panel. This means terminating a Panel Member's membership if the Panel Member does not have any Panel activity at all or does not respond to any survey invitation (by clicking any survey link) for more than six (6) months. Ipsos will inform you of such termination and you will have thirty (30) days to redeem any remaining points, or reactivate your account, otherwise the respective points account will be forfeited and erased completely.

16. Jurisdiction

THIS PROVISION DOES NOT APPLY TO RESIDENTS OF QUEBEC TO WHOM THE QUEBEC CONSUMER PROTECTION ACT APPLIES.

To the extent permitted by law, these Terms and Conditions are governed by the laws of the province of Ontario without regard to its conflict of laws principles, and the parties’ consent to the exclusive jurisdiction of the courts located in Toronto, Ontario with respect to any disputes arising out of or related to these Terms and Conditions.
